2024 Interim Board of Directors
The board of directors plays a crucial role in the governance and strategic direction of an organization. It is responsible for ensuring that organization functions as effectively as possible. The board ensures an organization operates lawfully and in the interests of the organization.
Setting Strategic Direction:
The board is responsible for defining the organization’s long-term vision, mission, and strategic goals. They ensure alignment between these objectives and the day-to-day operations.
Accountability to Members (Stakeholders):
Shareholders (members) and the broader community rely on the board to act in the best interests of the organization.
The Board ensure transparency, ethical behaviour, and compliance with laws and regulations.
Maintaining Policies and Frameworks:
The Board establish policies and guidelines to address conflicts of interest, code of conduct, and other critical matters.
Risk Management:
The Board assesses and manages risks facing the organization. This includes financial risks, operational risks, and reputational risks.
They work to strike a balance between risk-taking and prudent decision-making.
Financial Oversight:
The Board reviews financial statements, budgets, and financial performance. They ensure the organization remains financially healthy.
Board Committees:
The Board often delegates specific tasks to committees (e.g., audit, compensation, governance). These committees dive deeper into specialized areas and report back to the full Board. A member of the Board acts as Committee Chair and oversees the work of the committee.
The Board of Directors may tailor these responsibilities to its unique context and needs. And just like any team, effective collaboration and clear communication are key.
Expectations for a Director of the Board
A Director is expected to:

- Attend all board meetings, with no more than two absences permitted for reasonable cause.
- Understand and fulfill the general duties of a board director, along with any specific roles assigned.
- Support the mission of the Association and uphold the decisions made by the Board regarding its operations.
- Contribute to the constructive resolution of internal disputes or challenges.
- Foster unity and maintain focus on the organization’s shared goals.
